This agreement is between Cape Byron Excavations (the client) and Joshua Seage trading as Underseage Studio, ABN 24 715 756 276 (the supplier). It sets out the website to be delivered, the fees payable, the ongoing service included, and the terms on which either party may end it.
1. The website
1.1 Build
One custom coded single page website for Cape Byron Excavations. Built and complete as at the date of this agreement.
1.2 Domain
Published to capebyronexcavations.com, including configuration of the SSL certificate. Domain registration and renewal remain the client's.
1.3 Devices
Responsive layout across desktop, tablet and mobile.
1.4 Search
Standard on page search configuration, including retention of the former trading names Southern Excavations and Byron Bay Excavations. Ongoing search marketing is not included.
2. Included in the monthly fee
2.1 Hosting
Managed hosting of the website, including the SSL certificate and uptime monitoring.
2.2 Maintenance
Correction of technical faults in the website at no additional charge.
2.3 Content changes
Changes to photographs, wording and contact details, carried out by the supplier on the client's written request, within fair and reasonable use.
2.4 No client editing
The website is custom coded and does not include a client login or self service editor. Changes are made by the supplier under clause 2.3.
3. Requesting changes
- Requests are made in writing to josh@underseage.studio, stating the change required and supplying any photographs.
- Standard changes are actioned within 72 hours of receipt, and the client is notified once published.
- Work outside clause 2.3, including additional pages, new features and redesigns, is quoted separately and commenced only on the client's written approval.
3.4 Where the supplier is separately engaged to provide search marketing, pages and content produced for that purpose form part of that engagement and are not charged under clause 3.3.
4. Fees
GST inclusive

- 4.4 Currency and GST. All amounts are in Australian dollars and are inclusive of GST. No further amounts are payable other than work quoted and approved under clause 3.3.
- 4.5 Price changes. Any change to the monthly fee requires 30 days written notice to the client, who may terminate under clause 5.3 rather than accept it.
5. Ownership and termination
- 5.1 Ownership. The website, its content and the client's brand remain the property of Cape Byron Excavations at all times.
- 5.2 Exclusive management. While the supplier hosts and maintains the website, the supplier is the sole party making changes to it.
- 5.3 Term. Month to month, commencing on the date of first payment. Either party may terminate on 30 days written notice. There is no minimum term and no exit fee.
- 5.4 Release of files. On written request, the supplier will release the website files to the client within 72 hours. The monthly fee applies as normal for that month.
- 5.5 Migration. Transfer of the released files to the client's own or another provider's hosting is the client's responsibility.
- 5.6 Liability. The supplier is not liable for losses arising from third party services, from factors outside the supplier's reasonable control, or in respect of the website after it has been released to the client under clause 5.4.
6. Client obligations
- 6.1 Domain access. The client will provide access to the domain settings for capebyronexcavations.com, or make the DNS change advised by the supplier, so the website can be published.
- 6.2 Content. The client warrants that photographs, text and logos supplied to the supplier may lawfully be used on the website.
7. Acceptance
Enter your name and date, draw your signature below, then select Sign and download PDF. A signed copy is saved to your device and sent to the supplier.
